1. Almene bestemmelser

When ordering software, subscriptions or services from Coherta ApS (herefter kaldet The supplier), the customer accepts (hereinafter referred to as Kunden) these terms and conditions. Acceptance takes place digitally when creating an account, purchasing a subscription or when using the platform.

The customer undertakes to continuously keep informed of the applicable conditions. Changes are announced via e-mail or in the platform and take effect upon continued use.

2. Copyright and Intellectual Property Rights

All content and functionality in Coherta – including software, design, texts, structure, user interface and data models – belong to the Supplier and are protected by copyright and other intellectual property legislation.

The customer may only access and use data via the connection methods specified by Coherta, or approved integrations to external systems. Automated methods (robots, crawlers, scripts, data mining, etc.) may not be used.

3. Mention of the partners

Public use of Coherta's name, logo or collaboration mention is free. We just want to be informed when it happens.

4. Supplier's performance

Coherta provides a data platform and CRM extension that brings together company data, lead information, market data, linkedin data, website data and sales insights into one system. The platform can be integrated directly with external CRM systems (e.g. HubSpot and Pipedrive), if this appears from the Customer's subscription.

Support, setup, training and consultancy are not included in the subscription. Coherta may limit or regulate API usage and data volumes in case of disproportionately high traffic or suspected abuse.

5. Identity and correct information

The customer must provide correct information about the company, number of users, contact information and CVR number upon creation and throughout the collaboration. Changes must be notified to Coherta immediately.

6. Price and payment terms

All prices are stated excl. VAT

Subscriptions are billed as a starting point prior to 1 month, unless otherwise selected by the customer. Additional purchases or modules are invoiced proportionately for the remainder of the current period and thereafter as part of the main subscription.

Coherta can adjust prices monthly according to the net price index or due to changes in exchange rates, taxes or purchase costs with 3 months' notice. In the event of price changes, the Customer may terminate the subscription before the change takes effect. Failure to terminate is considered acceptance.

7. Opsigelse

The subscription runs continuously with automatic renewal, unless the Customer terminates it at the latest before the start of the new subscription period. Paid periods are refunded proportionately. The customer has access to the platform until the end of the paid period.

Coherta can terminate the cooperation with current month + 3 months' notice.

8. Data Collection and Confidentiality

Coherta collects anonymized usage data to improve the platform, including statistics and performance optimization. In the case of third-party integrations (e.g. HubSpot, Pipedrive), only technical relationships and identifiers are stored, not personal data from the third-party system. Coherta does not pass on the Customer's data to third parties without consent.

9. Konkurrenceklausul

Upon registration, the Customer confirms that the company does not operate or participate in the development of competing services (e.g. data or lead platforms of a similar nature). Violation is considered material breach and may result in immediate termination and claims for damages.

10. Default and default of payment

In the event of non-payment when due, Coherta may charge a reminder fee (DKK 100 per reminder), default interest in accordance with the Interest Act as well as recovery and debt collection costs. In case of continued non-payment, access to the platform can be suspended after a minimum of 7 days' notice.

11. Software Updates and Operation

Coherta is continuously updated. In connection with major updates, temporary operational interruptions may occur, typically outside normal working hours. Planned downtime is notified with a minimum of 7 days' notice. The platform is provided "as is" - without guarantee of uninterrupted operation or complete freedom from errors and viruses.

12. Limitation of liability

Coherta cannot be held responsible for direct or indirect losses resulting from the use of the platform, including lost profits, time, data or goodwill, errors in third-party data, interruptions caused by force majeure, hacker attacks or system errors. Any liability for damages can amount to a maximum of the Customer's paid subscription amount for the current period.

13. Kundens forpligtelser

  • Tage lokal backup efter behov.
  • Ensure correct use of API and data and compliance with applicable legislation.
  • Comply with data providers' terms.

Data obtained from Coherta may not be passed on or used to anyone other than the CVR number signed by the Customer without written agreement. Coherta data may not be used for the development or operation of competing systems.

14. Tvister

Any dispute between the Customer and Coherta is subject to Danish law and decided by Glostrup Ret as agreed venue.
